1. Introduction
In light of the rapid growth of the digital economy and the increasing reliance on freelance work in content-related fields such as writing, editing, design, and audio-visual production, Wana Freelancer was established as a specialized digital platform aimed at empowering independent content creators and connecting them with project owners seeking professional and secure services.
This Agreement aims to regulate the legal and operational relationship between the Platform’s users—whether as Service Providers (Freelancers) or Service Requesters (Clients / Project Owners)—and the management of Wana Freelancer, in a manner that safeguards the rights of all parties and provides a transparent and secure contractual environment within the Kingdom of Saudi Arabia.
Wana Freelancer operates as an independent digital intermediary, offering a secure internal financial management system whereby payments are temporarily held by the Platform on behalf of clients and released to freelancers upon successful delivery and evaluation of the work, subject to a fixed operational commission.
This Agreement has been prepared in accordance with principles of fairness, privacy protection, intellectual property rights protection, confidentiality of information, professional flexibility, and the provision of effective dispute resolution mechanisms, in compliance with the applicable laws and regulations of the Kingdom of Saudi Arabia.
2. Definitions
For the purposes of this Agreement, the following terms shall have the meanings set forth below, unless the context requires otherwise:
- Platform: The Wana Freelancer website, applications, and related electronic services.
- User: Any individual registered on the Platform, whether as a Service Provider or a Service Requester.
- Service Provider / Freelancer: An independent individual who provides services through the Platform, including but not limited to writing, design, voice-over, audio-visual production, or other approved services.
- Service Requester / Client: The customer who posts a project and requests its execution by a Service Provider through the Platform.
- Project: The work requested through the Platform, containing specific requirements, and which must not violate the applicable laws and regulations of the Kingdom.
- Account: The registered user profile containing personal information and activity records.
- Commission: The percentage deducted by the Platform from the Project value in consideration of its operational services.
3. Eligibility and Registration
- The User must have full legal capacity under the laws of their nationality and must be at least eighteen (18) years of age.
- The User undertakes to provide accurate, complete, and up-to-date information during registration and bears full responsibility for its accuracy.
- Users are not permitted to create or maintain more than one account without the prior approval of the Platform.
- The Platform reserves the right to suspend or terminate any account that violates these Terms.
4. Legal Nature of the Relationship
- The Platform acts solely as a digital intermediary between Service Providers and Service Requesters.
- The Platform does not participate in the direct execution of projects or services.
- The Platform shall not be responsible for the quality of services provided, except with respect to payment management and ensuring minimum contractual compliance.
- The Platform shall not interfere in the relationship between the Freelancer and the Client except in cases and in accordance with the procedures set forth under Dispute Resolution.
5. Platform Usage Mechanism
- The Service Requester shall post a Project containing clear and detailed requirements.
- Service Providers shall submit proposals including technical details, timelines, and service fees.
- All communication, negotiation, and delivery shall take place exclusively through the Platform.
- Any external agreements intended to bypass or evade the Platform’s commission are strictly prohibited.
- The User shall be granted a period of twenty-four (24) hours from acceptance of the proposal to request contract cancellation.
- If the User withdraws from the Project after the cancellation period has elapsed, the paid amount shall not be refunded.
- The Service Requester may stipulate that the Project timeline shall not be extended; in case of non-compliance, the paid amount shall be refunded after deducting the Platform’s commission.
- The Service Provider shall not commence work until receiving an official notification from the Platform confirming payment.
- The Service Requester shall evaluate the Project upon delivery. If the evaluation is below “Average,” the Service Provider may request the intervention of a specialized technical committee in accordance with Dispute Resolution.
- The Platform’s commission shall be due in all cases, including contract termination.
6. Payments and Commission
- The full Project amount shall be paid in advance by the Service Requester and held by the Platform.
- The amount shall be released to the Service Provider after successful delivery and evaluation.
- A fixed operational commission, the percentage of which shall be determined and announced by the Platform, shall be deducted.
- Payments shall not be refunded except in the cases and under the conditions specified herein.
7. Ratings and Feedback
- Each party shall evaluate the other upon completion of the Project.
- Ratings must be objective and free from abuse or misleading content.
- Ratings constitute a fundamental element in the payment release process.
- The Platform reserves the right to remove any rating that violates these Terms.
8. Intellectual Property Rights
- Ownership of the completed work shall transfer to the Service Requester upon full payment.
- The Service Provider may not use, reproduce, or resell the work without the Client’s prior written consent.
9. Confidentiality and Data Protection
- Both parties shall maintain the confidentiality of all exchanged information.
- The Platform applies a separate Privacy Policy explaining how data is collected, processed, and protected.
10. Account Suspension or Termination
- The User may close their account at any time, provided there are no outstanding contractual obligations.
- The Platform reserves the right to suspend or terminate accounts that violate these Terms.
- Account termination shall not relieve the User of any prior financial or contractual obligations.
11. Violations and Disciplinary Actions
- Disciplinary actions include warning, temporary suspension, and permanent termination.
- Violations include, but are not limited to, fraud, inappropriate language, commission evasion, manipulation of ratings, repeated unjustified project cancellations, or any breach of applicable laws in the Kingdom.
- The Platform may introduce additional violations as required by operational practice.
12. Dispute Resolution
- Wana Freelancer encourages amicable resolution of disputes between Users.
- If amicable resolution is not possible, the Platform may be requested to intervene and issue a neutral decision within five (5) business days.
- The Platform’s decision shall be binding on both parties. A one-time request for review may be submitted within forty-eight (48) hours, supported by new evidence.
- The Platform shall not be liable for disputes arising from external agreements or violations of these Terms.
13. Governing Law
- This Agreement shall be governed by the laws and regulations of the Kingdom of Saudi Arabia.
- Any legal dispute shall be referred to the competent authorities within the Kingdom.
14. Amendments to the Agreement
- The Platform reserves the right to amend this Agreement at any time.
- Users shall be notified of amendments via email or in-platform notifications.
- Continued use of the Platform constitutes implicit acceptance of the amendments.
15. Code of Professional Conduct
- All Users shall conduct themselves with professionalism and mutual respect.
- The use of abusive, discriminatory, or inappropriate language or content is strictly prohibited.
- Users shall not manipulate ratings or provide misleading information regarding their experience or services.
- Users shall refrain from posting or sharing any content that violates Saudi laws or intellectual property rights.
